1. Definitions

“Company,” “we,” “our,” or “us” means Visionary Alignment LLC.

“Member,” “you,” or “your” means the individual or entity that purchases or accesses Desire AI or Desire AI Studio through Visionary Alignment’s checkout or account.

“Desire AI” means the Desire AI membership, platform, digital tools, prompts, trainings, and related subscription content.

“Desire AI Studio” (or “Studio”) means the image-generation / product-imagery tools, credits, storage, and related features offered under the Desire AI / Studio product family.

“Services” means Desire AI, Desire AI Studio, and any related digital products, credit packs, storage plans, or add-ons sold by Visionary Alignment LLC on getdesireai.com or linked checkout.

These Terms do not govern subscriptions still billed by Creative Launchpad Holdings LLC / Flourish & Thrive Academy under a pre-existing FTA Desire AI agreement. See Section 12.

2. Agreement at Checkout

By checking the box at checkout (or otherwise indicating acceptance) and completing purchase, you agree to these Terms and to our Privacy Policy at https://www.getdesireai.com/privacy.

If you do not agree, do not purchase or use the Services.

3. Subscription Commitment

By enrolling, you authorize the Company and its payment processors (including Stripe) to charge the payment method you provide for the plan, term, credit pack, storage plan, or other product selected at checkout.

Your subscription or access begins on the purchase date (or the start date shown at checkout) and continues according to the billing frequency you chose, until canceled under these Terms.

4. Payment Authorization

You agree to pay all fees for the Services you select, including applicable taxes.

You authorize recurring charges until you cancel as allowed in these Terms.

If a payment fails or is declined, you remain responsible for amounts owed, and we may suspend access until payment succeeds.

5. Refund Policy (No Money-Back)

All payments to Visionary Alignment LLC for the Services are non-refundable. This includes, without limitation:

No partial refunds
No refunds for unused access, unused credits, or unused storage
No refunds for failure to log in, use, or apply the material or outputs
No refunds for scheduling conflicts, business changes, change of mind, or dissatisfaction
No refunds for credit packs, top-ups, or storage once purchased

By enrolling or purchasing, you understand you are buying digital access and/or credits under the plan you selected, with no money-back guarantee, aligned with the guarantee language shown at checkout.

Where the law requires a non-waivable right, that right is limited to the minimum the law allows.

6. Cancellation Policy

You may cancel a recurring subscription at any time using the cancellation option in your account or by emailing [email protected].

Canceling does not release you from any remaining payments owed for a commitment term you agreed to at enrollment.

Month-to-month: cancellation stops future billing cycles after the current period.
Multi-month, annual, or other commitment plans: cancellation stops renewal, but you remain responsible for the full commitment you agreed to.

One-time purchases (including credit packs and many storage purchases) are not “canceled” for refund; they remain non-refundable under Section 5.

7. Access After Cancellation

When you cancel a recurring subscription:

You keep access until the end of your current paid billing period or commitment term
Access ends at the end of that period unless you renew
No prorated refunds, credits, or free extensions

Unused Studio credits or storage may expire or become unavailable when access ends, according to the plan rules shown at purchase or in-product.

8. Chargebacks

A chargeback or payment dispute does not cancel your subscription or erase amounts you authorized.

If you dispute a charge you authorized, we may:

Remove or suspend access immediately
Submit proof of your agreement to these Terms and checkout acceptance to the bank or processor
Pursue fraudulent chargebacks to the fullest extent allowed by law

9. Modifications to the Services

We may update, modify, or adjust features, tools, models, content, credit burn rates, storage limits, and delivery methods at any time.

We may change pricing for future billing cycles; we will notify you before a price change applies to your recurring plan.

10. Intellectual Property; License; Outputs

All software, models, frameworks, prompts, scripts, templates, trainings, designs, and materials in the Services are owned by the Company or its licensors.

You receive a limited, non-transferable, non-exclusive license to use the Services for your own business, subject to these Terms and plan limits.

You may not copy, resell, sublicense, scrape, reverse-engineer, or share member-only materials with non-members, except as we expressly allow in writing.

As between you and us, you are responsible for how you use outputs (including marketing copy and Studio images) and for having rights to any inputs you upload (product photos, logos, likenesses, etc.).

11. Termination

We may suspend or terminate access for any material breach of these Terms, misuse of the Services, harassment of team members, abuse of systems or credits, unlawful use, or attempts to reverse-engineer or extract proprietary data.

12. Legacy FTA / Creative Launchpad Holdings Subscriptions

If your Desire AI subscription is still billed by Creative Launchpad Holdings LLC (or Flourish & Thrive Academy) under a pre-cutover FTA arrangement, those charges and that agreement remain with that merchant. These Visionary Alignment Terms apply to purchases and accounts billed by Visionary Alignment LLC (including Stripe checkout on getdesireai.com).

If you cancel an FTA-billed Desire AI subscription and later re-subscribe through Visionary Alignment checkout, these Terms apply to the new purchase.

13. Governing Law; Dispute Resolution; Arbitration

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules.

Informal resolution. Before filing a claim, you agree to email [email protected] a brief description of the dispute and to try in good faith to resolve it with us for 30 days.

Binding arbitration. Except as stated below, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, in Maricopa County, Arizona (or by video/phone if the AAA rules allow). The arbitrator’s decision is final and may be entered in any court with jurisdiction.

Class action waiver. You and the Company may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class proceeding.

Small claims. Either party may bring an individual action in small claims court in Maricopa County, Arizona (or your county of residence if required by applicable law) instead of arbitration, so long as the claim remains in small claims court.

IP / injunctive relief. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property or confidential information without waiving arbitration for other claims.
